Terms of Service

1. Scope and Provider

These Terms of Service govern your use of the ATHEMI platform ("Service"] operated by athemi GmbH, Hauptstrasse 29, 4444 Rümlingen, Switzerland ("we", "us"]. By creating an account, you agree to these terms.

2. Description of Service

ATHEMI is a B2B communication platform that enables businesses and individuals to exchange quotes, invoices, documents, and messages within shared project spaces. The platform can connect to external ERP systems (such as SAP Business One, Odoo, Bexio, Abacus, Proffix, and other supported systems] to facilitate data exchange.

3. Account Types

• Personal accounts: Free for individuals. Can participate in projects as customer or supplier.
• Company accounts: For businesses. Include team management, ERP integrations, and domain verification. Subject to subscription plans.
• You may hold one personal account and belong to one or more company accounts
• Company owners are responsible for managing team member access and data

4. Account Registration

• You must provide accurate and complete information during registration
• You are responsible for maintaining the security of your account credentials
• You must be at least 18 years old or have legal capacity to enter contracts
• One person may not maintain multiple personal accounts

5. Subscriptions and Billing

• Company accounts may subscribe to paid plans (Business or Enterprise] with monthly or annual billing
• New company accounts receive a 14-day free trial of the Business plan
• Payments are processed securely by Stripe. We do not store credit card information
• Subscriptions renew automatically unless cancelled before the renewal date
• Cancellation takes effect at the end of the current billing period. No prorated refunds for partial periods
• Downgrading to a free plan does not delete existing data but may limit access to certain features
• We reserve the right to change pricing with 30 days notice to existing subscribers

6. User Obligations

• Use the Service only for lawful business purposes
• Do not upload illegal, harmful, or infringing content
• Do not attempt to circumvent security measures
• Keep your login credentials confidential
• Notify us immediately of any unauthorized access

7. Digital Signatures

When you accept a quote through ATHEMI's signing feature, you acknowledge that:

• Your electronic signature constitutes a binding agreement between you and the counterpart
• We record your name, email, IP address, timestamp, and a cryptographic hash of the document
• This signature record is retained for the legally required period and cannot be deleted
• The binding nature of the contract is between the parties — ATHEMI facilitates but is not a party to the contract

8. Contract Termination

• Either party in a project may request contract termination through the platform
• Termination requires acceptance by the other party to take effect
• Upon termination, the corresponding status is updated in connected ERP systems where possible
• Terminated contracts and their history are preserved for legal compliance

9. ERP Connections

• Connecting your ERP system is optional and initiated by you
• Credentials are stored encrypted and used only for the purposes you authorize
• Data synchronization happens only when you explicitly trigger it
• Quote acceptance and contract termination may automatically update statuses in your connected ERP
• We are not responsible for data loss or errors in connected ERP systems

10. Domain Verification

• Companies may verify ownership of their email domain via DNS record or email verification
• A verified domain enables automatic team member onboarding and displays a verification badge
• Only one company may verify a specific domain at any time
• We reserve the right to revoke verification if domain ownership cannot be confirmed

11. Webhooks and Integrations

• You may configure outgoing webhooks to send event notifications to external services
• Webhook URLs and secrets are your responsibility to manage securely
• Event data sent via webhooks may contain project names and participant information
• We are not responsible for how third-party services process webhook data
• Webhook delivery is best-effort with no guaranteed delivery or retry

12. Data and Content

• You retain ownership of all data and documents you upload
• You grant us a license to store, process, and display your data for the purpose of providing the Service
• You are responsible for ensuring you have the right to upload and share content
• Shared project data is visible to all participants of that project

13. Account and Company Deletion

• You may delete your personal account at any time from your profile settings
• Company owners may delete their company, which cancels the subscription and removes team access
• Team members with company-domain emails are deactivated when the company is deleted
• Team members with personal emails retain their personal accounts
• Business records (signed contracts, invoices, project histories] are retained as required by Swiss commercial law (up to 10 years]
• Your name will continue to appear in existing project histories and signed documents

14. Liability

• The Service is provided "as is" without warranties of any kind
• We are not liable for indirect, incidental, or consequential damages
• We are not a party to contracts formed through the platform between users
• Our liability is limited to the amount paid by you for the Service in the preceding 12 months

15. Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance with or without prior notice.

16. Changes to Terms

We may modify these terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use after changes constitutes acceptance.

17. Governing Law

These terms are governed by Swiss law. Disputes shall be resolved by the courts at the registered seat of athemi GmbH, 4444 Rümlingen, Switzerland.
